Free Gift with Purchase Terms

ENTRY INTO THE PROMOTION CONSTITUTES ACCEPTANCE OF THESE TERMSTERMS. VOID OUTSIDE OF THE PEOPLE’S REPUBLIC OF CHINA (“PRC”). FOR PURPOSE OF THIS GIFT WITH PURCHASE TERMS, PRC SHALL EXCLUDE HONG KONG SPECIAL ADMINISTRATIVE REGION, MACAU SPECIAL ADMINISTRATIVE REGION AND TAIWAN.

Binding Agreement: These Terms(“Terms”) will provide you with the information you need to successfully apply for the Free Gift (as described in the Free Gift section below) ("Promotion"). These Terms form a binding contract between the Graduate Management Admission Council ("GMAC") and you, as an entrant into the Promotion. By entering the Promotion, you agree to be bound by these Terms. If you breach a provision of these Terms, you will be disqualified from participating the Promotion and any gift obtained will be forfeited. All decisions of GMAC on all matters pertaining to the Promotion are final and binding. No queries, challenges or appeals may be made or entertained regarding GMAC's decision on the same. Eligibility: To be eligible to enter this Promotion you must meet the following requirements: (i) be a legal resident of the People’s Republic of China at the start date of the Promotion Term; (ii) be of the age of 18 or above at the time of entry; (iii) be a holder of a valid PRC Identity Card at the time of entry; and (iv) have a valid email address and Internet access prior to the start of the Promotion. Current employees, directors, and officers of GMAC, their affiliates, agents, independent contractors and their immediate families and people living in their household are not eligible to enter the Promotion.

Promotion Sponsor: [Graduate Management Admission Council (Hong Kong) Limited], [PO Box 35308 King's Road Post Office, Hong Kong], is the sponsor of the Promotion (“Sponsor”).

Promotion Term: Entries must be received between 11:59 PM, Beijing time June 19, 2019 and 11:59 PM, Beijing time on July 20, 2019.Sponsor’s computer, or that of its designee, will serve as the official time keeper for the Promotion. Entries received before or after the specified time period will be rejected automatically.

Free Gift: Successful applicants will be eligible to receive one GMAT Official Guide 2020 in digital purchase code to redeem in MBA.com (“Free Gift”) during the Promotion Term. Actual Free Gift may differ from promotional images and/or descriptions, and any promotional images and/or descriptions are provided for reference only. The Free Gift recipient is responsible for any and all federal, state/provincial/territorial, and local taxes, fees and surcharges and taxes (whether foreign or domestic, and including income, sales, and import taxes) on Free Gifts. GMAC reserves the right to substitute the Free Gift with a different gift with equal or greater value at its sole and absolute discretion without prior notice. The Free Gifts are only available while stocks last. The Free Gifts cannot be converted into cash. No gift transfer, replacement, exchange, return, assignment or substitution by a gift recipient is permitted. If a potential Free Gift recipient declines to receive the Free Gift, fails to claim the Free Gift, is unavailable receive the Free Gift, fails to abide by the Terms, or is ineligible in any other manner (including being deemed ineligible by GMAC), GMAC may disqualify such recipient’s entitlement to receive the Free Gift. GMAC reserves the rights to deal with all unclaimed Free Gifts in any manner it deems fit. The Free Gift recipient agrees to abide by the terms and conditions (if any) which are listed by the Free Gift suppliers regarding the relevant gifts. GMAC and the Free Gift suppliers will not be responsible for any consequences due to the redemption or use of the Free Gifts.

Electronic Communications: The email address you provide for registration will be our primary means of communication. By clicking your consent to these Terms, you agree to communicate for the purpose of this Promotion with the Sponsor electronically. By agreeing to do business electronically, you (i) agree that your act of clicking your consent to these Terms is a binding form of your electronic signature, which you agree binds you to these Terms and our use of your personal information for this Promotion, (ii) represent that you have Internet access and a valid email address enabling you access to www.mba.com and to receive communications and documents electronically, (iii) represent and warrant that you have clearly read, understood and consented to these Terms, and (iv) represent that you have a printer or other device to print or otherwise save communications and documents including, without limitation, these Terms and that you have, in fact, printed or otherwise saved a copy of these Terms for your records. The consent is effective unless and until you withdraw it or unless otherwise provided by applicable laws and regulations. You may withdraw your consent to electronic communication and delivery of documents, update your contact information, or request a free paper copy of these Terms at any time by contacting us as set forth in these Terms. We will send you a confirmation notice once we have processed your change request.

Notification: All applications for a Free Gift in relation to the Promotion will be processed at the Sponsor’s office. Successful applicants for the Free Gift will be notified by GMAC via email on or about the day after their entitlement to receive the Free Gift have been verified by the Sponsor as a potential Free Gift recipient. Each potential Free Gift recipient will have (5) five business days from the date of notification to claim the Free Gift. Winners will be required to present the following items to collect the Free Gift (i) the Free Gift notification email sent by GMAC, and (ii) the PRC Identity Card of the potential Free Gift recipient. All Free Gifts must be collected by the potential Free Gift recipient personally. Failure to present the relevant Free Gift notification email sent by GMAC and a valid PRC Identity Card of the potential Free Gift recipient when collecting the Free Gift, where the particulars of the PRC Identity Card presented by the potential Free Gift recipient does not correspond with the details submitted in the entry for this Promotion, the return of any notification e-mail as undeliverable, the inability of GMAC to contact a potential Free Gift recipient within five (5) business days, or the failure of the potential Free Gift recipient to respond, may (at GMAC’s sole and absolute discretion) result in disqualification of the potential Free Gift recipient. GMAC and its affiliates, subsidiaries, employees, agents, officers and directors, advertising and promotion agencies, and their respective officers, directors, employees and their respective agents will not be liable for any unsuccessful efforts to notify a potential Free Gift recipient. Chance plays no role in the selection of the Free Gift recipient.

Limitations on Liability: Except as otherwise prohibited by laws and regulations, eligible entrants individually and on behalf of their relatives, heirs, assignees, executors, and administrators, agree that they shall enter the Promotion at their own risk and shall be responsible for all risks of participating in the Promotion, and hereby permanently, irrevocably and forever waive and release any and all rights, demands, losses, liabilities, claims and causes of action whatsoever which you may now or hereafter be entitled to assert against Sponsor, its affiliates, parent, and subsidiary companies, its employees, agents and officers, advertising, marketing and promotion agencies, as well as all others associated with the development and execution of the Promotion (collectively, the “Released Parties”), including, but not limited to any death, injury, loss of enjoyment or other harm or loss of any nature whatsoever caused by, contributed to, or arising out of the Promotion and/or any Free Gifts awarded, any claim or demand for additional compensation or any other claim or demand related to the Promotion or what the Sponsor provides, and forever release and discharge the Released Parties from any and all liability with respect thereto. The Released Parties assume no responsibility for any error, omission, interruption, deletion, defect, or delay in operation or transmission; communications line failure; theft or destruction of or unauthorized access to Promotion submissions or entry forms; or alteration of submissions or entry forms.

WITHOUT LIMITING THE FOREGOING, AND EXCEPT WHERE PROHIBITED BY LAW, EVERYTHING REGARDING THIS PROMOTION, INCLUDING THE FREE GIFT, IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, CORRESPONDING TO DESCRIPTION, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Conditions: Unless participants expressly opt out in accordance with the procedures and conditions as prescribed by GMAC, participants agree to the use of their registration information for this Promotion and for other marketing purposes (including direct marketing), and the transfer of their personal information and their registration information to the United States, where the Sponsor’s parent company and its data processors are located.

If you are acting within the scope of your employment, as an employee, contractor, or agent of another party, you warrant that such party has full knowledge of your actions and has consented thereto. You agree to provide GMAC and/or the Sponsor written evidence of such consent as soon as practicable and at your costs and expense upon being so request by GMAC and/or the Sponsor. You further warrant that your actions do not violate your employer’s, company’s or principal’s policies and procedures, or any applicable laws in your jurisdiction(s).

Right to Disqualify, Modify, Cancel or Suspend: GMAC reserves the right, at its sole and absolute discretion, to disqualify any individual(s) who tampers with this promotion, and/or to cancel, terminate, modify, or suspend the Promotion for any reason. GMAC reserves the right to disqualify any entrant from this Promotion or any future promotion if, in its sole and absolute discretion, GMAC reasonably believes that the entrant has attempted to undermine the legitimate operation of GMAC or the website by cheating, deception, or other unfair practices, or has tampered with any of GMAC's websites, the submission process, violated these Terms, or acted in an unsportsmanlike or disruptive manner, or annoyed, abused, threatened, or harassed GMAC, its employees, its agents, its assigns or any other participant. GMAC also reserves all rights to claim against such participant(s) any damage or loss suffered by GMAC arising out of or in connection with any such actions.

Governing Law: The Promotion and the rights and obligations of all entrants shall be governed by and construed in accordance with the laws of the People’s Republic of China. Should any provision of these Terms be held to be void, invalid, unenforceable, or illegal by a proper legal authority, the validity and enforceability of the other provisions shall not be affected.

Dispute Resolution: All disputes, claims or demands that relate to these Terms, including the formation, interpretation, breach or termination thereof, and whether the claims asserted are arbitrable, will first be brought to the attention of the other party and will be resolved individually, without resort to any form of class action. The receiving party shall have sixty (60) days from the date of such notice to remedy the described breach or violation and notify the complaining party in writing of the resolution. If the dispute, claim or demand is not resolved to the satisfaction of the complainant within 60 days, the complainant may request an informal resolution conference (mediation), which if agreed to by the other party will be scheduled to occur within 21 days of the written response.  Each party shall have the right to be represented at such a conference by counsel and will ensure that a decision-maker with full and complete authority to resolve the dispute attends the conference.  Such conference will be in front of a third party mediator chosen by the parties.  If the parties do not agree to conference or are unable to resolve a dispute after such a conference, the parties agree that exclusive jurisdiction for any dispute, claim or demand related in any way to these Terms will be decided by binding arbitration.  All disputes between the parties, of whatsoever kind or nature arising out of these Terms, shall be submitted to JAMS (www.jamsadr.com<http://www.jamsadr.com) for binding arbitration under the JAMS International Arbitration Rules & Procedures then in effect (the “Arbitration Rules”), before one arbitrator to be mutually agreed upon by both parties. If the parties fail to agree upon the arbitrator to be appointed, the arbitrator shall be appointed in accordance with the Arbitration Rules. The seat of the arbitration shall be the Hong Kong Special Administrative Region. The language to be used in the arbitral proceedings will be English. Judgment upon the award rendered by the arbitrator may be entered by any court having jurisdiction thereof. The parties agree to share equally in the arbitration costs incurred.

Data Privacy: Your personal information will be used to fulfill the terms of this Promotion and may therefore be shared with any subcontractor, agent or partner that assists or is otherwise involved in the Promotion or website operation and as specified in GMAC's privacy statement available at http://www.mba.com/privacy, and may be used by GMAC for direct marketing purposes and to inform you of products, services and other marketing materials which GMAC considers to be of interest to you (if applicable). You may request access to, and/or correction of your personal information, and/or opt-out of any direct marketing provided by GMAC in accordance with the procedures and conditions as prescribed by GMAC. Miscellaneous: The Sponsor reserves the right to change these Terms or any the terms and conditions of this Promotion in its sole and absolute discretion at any time and without prior notice.

If there is any discrepancy between the Chinese (if any) and English version of these Terms or any terms and conditions of this Promotion, the English version shall apply and prevail.

PROMOTERS GUIDELINES

 Transfer of Personal Information to the United States

The Chinese legislative body recently passed the PRC Cyber Security Law which will take effect on 1 June 2017. The PRC Cyber Security Law imposes restrictions on cross border transfers of personal information and important data, with the detailed implementing Terms to be amended by the State Council. Accordingly, the transfer of personal information to the United States will likely be affected by the PRC Cyber Security Law and the detailed implementing Terms. However, it is not possible to ascertain how the transfer of personal information will be affected until the detailed implementing Terms have been promulgated. We will update you once we are aware of the implementation of any detailed implementing Terms that will affect GMAC’s transfer of personal information to the United States.
